MINUTES

Chair Patty Norman called the meeting to order at 4:00 p.m.

Patty Norman asked the Board of Trustees for approval of the November 16, 2006, Library Board of Trustees meeting minutes. On a motion by Robin Branstrom, seconded by Sally Robinson, the Trustees unanimously approved the minutes of the November 16th meeting.

Director Brown presented a history of the Library’s management structure and a brief overview of the Galilee Agency.

Susan Harden, Research, Planning and Special Projects Analyst, introduced Brenda Anderson, President, Galilee Agency. Ms. Anderson described the proposed methodology and approach to the Library’s re-organizational process. (copy attached)

Patty Norman asked the Board of Trustees for approval to move forward to enter into a contract with The Galilee Agency, Inc, subject to further negotiations of the terms of the contract and to authorize the Director and Board Chair, with the assistance from legal counsel, to negotiate the terms of the contract and to thereafter execute same on behalf of the Library. On a motion by Darrel Williams, seconded by Bob Bisanar the Trustees unanimously approved moving forward to enter into a contract with The Galilee Agency.

Chair Norman presented the 2007 Meeting Schedule for the Board of Trustees.

Finance Director, Chuck Mallas, asked the Board of Trustees to approve a motion to use the Bank of Commerce for short-term investment purposes. On a motion by Sally Robinson, seconded by Bob Bisanar the Trustees unanimously approved moving forward to use Bank of Commerce for short-term investment purposes.

On a motion by Darrel Williams, seconded by Sally Robinson, the Trustees unanimously approved to adjourned to a CLOSED SESSION – Discussion of Personnel Matter (Pursuant to GS 143-318.11(a)(6))

On a motion by Darrel Williams, seconded by Sally Robinson, the Trustees returned to open session at 6:30 p.m.

After returning from closed session, the Board unanimously agreed that Director Brown had performed admirably in his job and that his compensation should be amended and increased.

There being no further business, the meeting was adjourned at 6:45 p.m.
